Terms of Service

1. Agreement

These Terms of Service ("Terms") govern your access to and use of the Ganesh AI service, the website ganesh.guru, and related deliverables (the "Service"), provided by CoExist, LLC ("CoExist," "we," "us"). By purchasing, accessing, or using the Service, you ("Customer," "you") agree to these Terms. If you do not agree, do not use the Service.

2. The Service

Ganesh AI reads a business's publicly available website and information and produces: a structured, localized product/service catalog (up to 10 languages), AI-generated brand-matched visual assets (images and short video), and a structured business profile formatted for machine readability. All deliverables are provided for the Customer's own use.

3. Eligibility

The Service is for business use by users 18 or older with authority to bind the business they represent. By using it, you represent that you have that authority.

4. Fees, Billing, and Renewal

• Business plan: one-time setup fee of $499.99 plus an annual subscription of $99.99/year.
• Franchise / multi-location: one-time fee of $249.99 per location plus $99.99/year per location.
• Enterprise: custom pricing by written agreement.
• Payments are processed by Stripe; by paying, you also agree to Stripe's terms. We do not store full card numbers.
• Annual subscriptions auto-renew each year at the then-current price unless cancelled before the renewal date.
• Fees are exclusive of taxes; you are responsible for applicable taxes.

5. Refunds and Cancellation

The one-time setup fee is refundable within 7 days only if production has not begun; once remaster/production starts, setup fees are non-refundable. Annual subscription fees are non-refundable, but you may cancel to prevent the next renewal. To cancel, contact Jynx@LynxLogix.ai.

6. Customer Content and Rights You Grant

"Customer Content" means brand names, logos, trademarks, product information, images, and other materials you provide or that appear on the website you direct us to. You represent and warrant that you own or have all rights necessary to use Customer Content and to authorize us to use it to produce your deliverables, and you grant us a limited license to do so. You are solely responsible for the accuracy and legality of Customer Content.

7. AI-Generated Content

Visual and text assets are generated by artificial intelligence and are provided as concept previews. They may contain errors, inaccuracies, or unintended resemblances. You are responsible for reviewing and approving all deliverables before you publish or use them. We label AI-generated visuals as AI concepts; you agree not to remove such labels or any embedded provenance signals.

8. No Guarantee of Results

We do not guarantee any specific business outcome, ranking, traffic, sales, or inclusion, placement, or representation in any third-party search engine, AI assistant, or AI search platform. We structure your information for machine readability and accuracy; we do not control and cannot promise how any third-party platform ingests, displays, ranks, or describes it.

9. Intellectual Property

Upon full payment, you own the final deliverables produced specifically for you, except for: (a) our underlying software, MCP engine, templates, lexicons, and know-how, which remain ours; and (b) third-party components subject to their own licenses. We may use anonymized, non-confidential aspects of the work to improve the Service.

10. Acceptable Use

You will not use the Service to submit unlawful, infringing, deceptive, or objectionable content; to impersonate others; or to violate any law. We may refuse, suspend, or remove work that violates these Terms.

11. Third-Party Services

The Service relies on third parties (e.g., xAI/Grok for image generation, Stripe for payments, hosting providers). Their availability and terms are outside our control, and deliverables may be subject to their moderation and terms.

12. Disclaimers

THE SERVICE AND DELIVERABLES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT, TO THE FULLEST EXTENT PERMITTED BY LAW.

13. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, COEXIST WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, AND OUR TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE AMOUNTS YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM.

14. Indemnification

You will indemnify and hold CoExist harmless from claims arising out of Customer Content, your use of deliverables, or your breach of these Terms.

15. Term, Termination, Suspension

We may suspend or terminate access for breach or non-payment. Sections that by their nature should survive (e.g., 6, 9, 12–14) survive termination.

16. Governing Law and Disputes

These Terms are governed by the laws of Connecticut, without regard to conflict rules.

17. Changes

We may update these Terms; material changes will be posted with a new "Last updated" date and, where required, notice to you.
